1. Definitions

2. Eligibility & Account

- You must provide accurate, current, and complete information during registration or onboarding.
- You are responsible for maintaining the confidentiality of your credentials and for any actions under your account.
3. Scope of Services & Engagement
- We provide services only after mutual agreement (email or written) specifying scope, deliverables, fees, and timeline.
- We may refuse or suspend services if your request is outside our expertise, is unlawful, or conflicts with these Terms.
4. Fees, Payment & Billing
- Fees are quoted in advance. You must accept them before work begins.
- Advance or retainer payments may be necessary to commence work.
- We accept UPI, Net Banking, Debit/Credit Cards (via payment processors), and NEFT/RTGS, in line with our Payment Policy.
- All payments are subject to applicable taxes (for example, GST).
- If payment is delayed or not made, we reserve the right to suspend or withhold services until your account is settled.
5. Cancellation & Refunds
- Cancellation requests should be made via email or support channel prior to substantive work beginning.
- If cancelled early, a full or partial refund may be issued, less costs or time already incurred.
- No refunds will be given for services already delivered, filings already submitted, or statutory fees paid.
6. Client Obligations
- You must timely provide all required documents, approvals, information, and cooperation for us to perform the services.
- You represent that the information and documents you provide are true, lawful, and accurate.
- You must respond to queries, clarifications, and requests from us without undue delay.
7. Intellectual Property
- We retain all rights, title, and interest in our methods, templates, tools, and intellectual property.
- Deliverables prepared for you are licensed for your internal use only, unless otherwise agreed.
- You may not distribute, resell, or commercialize our proprietary materials without our written consent.
8. Confidentiality & Data Protection
- We shall maintain the confidentiality of your sensitive data and documents, in line with our Privacy Policy.
- We will not disclose your data unless required by law or necessary to deliver the Services.
- Our team, partners, and subcontractors will be bound by confidentiality obligations.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our aggregate liability to you for any claim arising from or in connection with a service shall not exceed the total fees you paid for that particular service.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages (e.g., loss of profit, data, business opportunity).
- We are not responsible for delays or failures caused by your non‑cooperation, third‑party systems (e.g. government portals), or force majeure events.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, liabilities, damages, costs (including legal fees) arising from:
- Your breach of these Terms or misrepresentations;
- Use of defective or illegal documents you provide;
- Violation of laws applicable to you;
- Claims by third parties arising from your acts or omissions related to our Services.
11. Termination
- Either party may terminate a service engagement by written notice if the other party materially breaches these Terms and fails to cure it within a reasonable time.
- Termination does not relieve you of the obligation to pay for work already performed or non‑refundable costs incurred.
- Clauses by their nature intended to survive termination (e.g. confidentiality, indemnity, limitations) shall remain in effect.
12. Dispute Resolution & Governing Law
- These Terms and any dispute arising out of them shall be governed by the laws of India.
- The courts in your jurisdiction (or a court mutually agreed) shall have exclusive jurisdiction.
- Before initiating legal action, parties should attempt to resolve disputes through negotiation or mediation.
13. Changes to Terms
- We may update or revise these Terms from time to time. The revised Terms will be posted on this page.
- Your continued use of our website or services after changes denotes your acceptance of the updated Terms.
- For material changes, we may notify you by email or prominent notice on the site.
14. Miscellaneous
- If any provision of these Terms is found invalid or unenforceable, it shall be severed, and remaining provisions will remain in full force.
- Failure or delay in enforcing a right under these Terms does not operate as waiver.
- These Terms (along with Privacy & Payment policies) form the entire agreement between you and us regarding the Services, superseding all prior understandings or agreements.
